Constitution

Article I : NAME AND PURPOSE

Section 1 This organization shall be known as the University of Toronto Student Branch of the Institute of Electrical and Electronics Engineers (IEEE).
Section 2 The purpose shall be the dissemination of knowledge of the theory and practice of all aspects of electrical engineering, computers, electronics, radio, allied Branches of engineering or the related areas and sciences, as well as the furtherance of the professional development of members.
Section 3 The organization and operation of the Branch shall be in accordance with the Constitution and Bylaws of the WEE.
   

Article II: MEMBERSHIP

Section 1 Full Membership shall be limited to undergraduate and graduate students of the University of Toronto, who are taking at least 50% of a full-time academic program. Faculty and staff who are members of the IEEE shall be granted Associate Membership in the Branch.
Section 2 Membership and participation in Branch activities shall be free from discrimination based on gender, race, religion, handicap, or sexual orientation.
Section 3 Members of the IEEE Student Branch shall receive privileges to Student Branch activities, such as subsidized events, and are eligible to receive the services provided by the Student Branch, and make use of the facilities and properties of the McNaughton Center.
   

Article III: DUES

Section 1 The Executive Committee of the Branch shall have the power to levy special assessments upon endorsement by a two-thirds vote of the membership of the Branch. Associate members shall be exempted from any special assessments levied by the Branch.
Section 2 Non-payment of annual IEEE membership fees shall automatically result in suspension of membership in the IEEE and in the Student Branch.
Section 3 The local dues per semester for members are payable at the beginning of the semester. The amount of local dues shall be decided by the Chair and the Counsellor under advisement of the Executive Committee and may be subject to change in consecutive semesters.
   

Article IV: OFFICERS AND ELECTIONS

Section 1 The officers of the Branch shall be Chair, Treasurer, Secretary, Vice-Chair of Professional Development, Professional Development Officers, Vice-Chair of Public Relations, Public Relations Officers, and Computer Administrators.
Section 2 Only Full Members in good standing shall be eligible to hold office. Associate members shall not be entitled to vote or to hold office. Full Members on PEY shall not he eligible to hold office.
Section 3 The term of office shall ordinarily be one year and shall begin following the Joint Executive Meeting, the last meeting of the outgoing Executive council.
Section 4 Elections of officers shall be held not later than the second last meeting of the year. Candidates of the office of Chair and Vice-Chair of Professional Development, Vice-Chair of Public Relations must have served as an elected officer of the Branch in at least one previous year. In the event that no candidates meet this requirement, each candidate who receives the endorsement of the current Branch Chair, Vice-Chair of Professional Development, Vice-Chair of Public Relations and the Branch Counsellor shall eligible to run.
Section 5 All nominations for positions on the Executive Committee must be endorsed by at least one of the Chair, Vice-Chair of Professional Development, and Vice-Chair of Public Relations. All rejected candidates shall be notified in writing by the Chair.
   

Article V: APPOINTMENTS

Section 1 First Year students may be appointed to sit on the Executive Committee by the Chair and Vice-Chair of Professional Development and Vice-Chair of Public Relations.
   

Article VI: EXECUTIVE COMMITTEE

Section 1 Under the discretion of the Chair and Vice-Chair of Professional Development and Vice-Chair of Public Relations, the management of the affairs of the Branch shall be in the hands of the Executive Committee. The Executive Committee consists of the duly elected officers of the Branch and the Branch Counsellor appointed by the IEEE. The Branch Chair shall also chair the Executive Committee. Other Committee Chairs and appointed officers shall be ex-officio members of the Executive Committee.
Section 2 The Executive Committee shall be the governing body of the Branch and shall transact all business it deems advisable, including the filling of vacancies in Offices, authorization of expenditures, etc.
   

Article VII: DUTIES OF OFFICERS

Section 1 The Branch Chair shall preside at all meetings of the Branch. The Chair shall oversee all other officers including Vice-Chair of Professional Development, Vice-Chair of Public Relations, Treasurer, Secretary, Professional Development Officers, Public Relations Officers, and Computer Administrators to ensure their activities are contributing to the betterment of the IEEE.
 
The Chair shall also appoint Committees under the advisement of the Executive Committee. The Chair shall host a Wine and Cheese party in September of his/her term to welcome new first year students such that new members of the IEEE Student Branch of the University of Toronto may have an opportunity to meet each other, professors and become acquainted with the Executive Committee. The Chair shall maintain good relations with the department, the local IEEE section and the University of Toronto.
Section 2 The Treasurer shall receive all monies and pay all debts of the Branch authorized by the Executive Committee. and shall keep an exact account of all receipts and expenditures. The Treasurer shall also complete the year-end financial statements for the inclusion in the annual report of the activities. He/She shall be responsible for the maintenance of the IEEE Pop-machine under advisement of the Chair. He/She shall report on the status of the revenue to the Chair. Financial records may be reproduced under the Counsellor's request. The treasurer shall initiate, oversee and encourage fund-raising in Branch activities.
Section 3 The Branch Secretary shall keep a record of activities of the Branch and shall record the members present at each meeting or activity. The Secretary is responsible for filing the Annual Plan of Activities and the Annual Report of Activities to the IEEE Student Services, in a timely manner. He/She shall keep minutes of all Executive Committee meetings and make them available to members of the Branch. The Secretary shall carry on all other communications necessary to the activity of the Branch and ensure that all activities of the Branch are in accordance with the Constitution and the Bylaws of the IEEE.
 
The Secretary shall also manage student applications and the recruitment of student members to the IEEE. The Secretary shall maintain the office, update the calendar of events in the office, check the IEEE student branch email account, co-ordinate with Computer Administrators in updating web pages, and provide refreshments at IEEE meetings.
Section 4 The Vice-Chair of Professional Development shall directly oversee all Professional Development Officers. His/Her duties will include: establishing industry contacts, scheduling events and seminars, and holding the Career Growth Dinner in the first term of the year.
Section 5 The Professional Development Officers shall organize industry talks and tours. The Professional Development Officers shall contact and arrange speakers from the industry. Each Professional Development Officer shall be responsible for planning one or more seminar(s), workshop(s) or forum(s). Presentation topics must be relevant to the professional and academic development of the members of the Branch.
 
At least one Professional Development Officer shall be responsible for the SPAC event(s). The officer is responsible for executing the SPAC event under the advisement of the Chair and Vice-Chairs. The execution of the SPAC includes inviting speakers, arranging a location for the SPAC, providing refreshments and audio/visual equipment, and managing the finances. A written report shall be produced within 2 weeks after the event and submitted to the Chair, and to he submitted to IEEE Student Services.
Section 6 The Vice-Chair of Public Relations shall directly oversee all Public Relations Officers. He/she shall be responsible for publishing a newsletter once per term, with the assistance of the Computer Administrator, to cover the IEEE news and events, and to be distributed to the IEEE members and student body. Other duties include obtaining industry advertisement on IEEE webpage, organizing event advertisements and holding fund-raising event(s) each year.
Section 7 The Public Relations Officers shall be involved in designing advertising posters, and working in conjunction with the Professional Development Officers to promote the activities of the IEEE. The Public Relations Officers shall maintain industry advertisement on IEEE webpage, maintain IEEE display window, and publish a newsletter every term under advisement of the Vice-Chair of Public Relations.
Section 8 The Computer Administrators shall maintain all technical equipment including the PCs, printer and scanner in the IEEE Office. Maintenance includes installing software, purchasing toner, providing paper for the printer, etc. The Computer Administrators shall also maintain the IEEE accounts on ECF, UGSPARC and EECG machines. Computer Administrators shall co-ordinate a design competition with the Vice-Chairs, and collaborate with the Public Relations Officers to maintain the IEEE Web Page under advisement of the Vice-Chair of Public Relations.
   

Article VIII AMENDMENTS

Section 1 The Branch is empowered to adopt Bylaws which are consistent with the Constitution.
Section 2 The Constitution may be amended by two-thirds of all members of the branch and the Executive Committee of the branch present, provided the amendment(s) have been proposed at least one duly publicized meeting previous to the time of voting and provided that quorum is met. Such amendments become effective only upon the approval of the Executive Committee, but such approval shall not be unduly withheld.
   

Article IX IMPEACHMENT

Section 1 An Executive Member who is not fulfilling their duties or behaves inappropriately leading to a misrepresentation of the goals and values of the IEEE Student Branch, may be removed from his/her position of office by unanimous vote of the remaining Executive.
   

Article X ATTENDANCE

Section 1 Attendance of the Executive Committee to all meetings and events is mandatory and only absence due to extenuating circumstances communicated to the Chair ahead of time shall be excused. Lack of attendance without justification shall result in automatic impeachment or an activity deemed suitable by the Executive Committee (e.g. Filling the pop machine), under the discretion of the Chair and Vice-Chairs.
   

Article XI QUORUM AND MEETINGS

Section 1 Bi-weekly meetings will be held provided that a quorum of two thirds of the full Executive Committee is present.
Section 2 Constitution amendments can be made under Article VIII,
Section 2 of this constitution, provided that a quorum of the entire Executive Committee and at least one other member is present.
Section 3 All meetings should be held at a time suitable for all executive members.
